Leticia specializes in M&A (of both private and listed companies), equity capital markets and corporate governance of listed companies. She has an extensive experience, amassed both at top-tier international law firms (she pursued most of her career at Linklaters, including a secondment at its London office) and in the public sector. 

In particular, from 2016 to 2020 she served as Chief of Staff to the Chairman of the National Securities Market Commission (CNMV), Sebastián Albella, and was a member of its Steering Committee. In that role she provided legal advice, mainly, relating to takeover bids, mergers, IPOs, rights issues and, in general, to all kinds of corporate transactions involving listed companies and securities market deals, as well as in the areas of corporate governance, transparency and market abuse.

Also, during her time at the CNMV she was a member and participated in the following groups and internal technical teams:

• Member of the Takeover Bid Network of ESMA (the European Securities and Markets Authority) 
• Participated in the drafting of key guidelines and soft law criteria issued by the CNMV (first ever Q&A on takeover bids (2018), Technical Guide on Nominations and Remunerations Committee, Technical Guide on Audit Committees).
• Formed part of the technical team that carried out the review of the Good Governance Code of Listed Companies performed by the CNMV in June 2020.
• Formed part of the technical team that drafted the preliminary bill of Law 5/2021, of April 12, amending the Spanish Companies Act, the Spanish Securities Markets Act and other financial provisions, which introduced very important amendments in the areas of corporate governance, transparency and securities market laws.
• Member of the Brexit coordination group within the Spanish financial services area (comprising the Ministry of Economy, the Secretariat-General of Treasury and Financial Policy, the CNMV, the Bank of Spain and the Directorate-General of Insurance and Pension Funds).

During her time at Linklaters she was involved in numerous landmark M&A transactions (of private and listed companies), as well as private equity and joint venture deals, both domestic and cross-border. In addition, she regularly advised different listed companies on corporate governance matters.
